11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND ANY APPLICABLE STATE CONSUMER PROTECTION STATUTES, MOD PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES.
- ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
- ANY DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT ON OR ACCESSIBLE THROUGH THE SITE.
- ANY ADVERSE HEALTH EFFECTS FROM CONSUMPTION OF OUR PRODUCTS, EXCEPT WHERE CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mod Pizza, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of any applicable federal, state, or local law or regulation.

Subject to the dispute resolution provisions below, you irrevocably consent to the exclusive personal jurisdiction and venue of the federal and state courts located within the applicable United States jurisdiction for the resolution of any disputes arising from or related to these Terms or your use of the Site or Services. You waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or any other basis.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to attempt to resolve any dispute informally by contacting us at [email protected] with a written description of the dispute. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If we are unable to resolve the dispute informally within that period, either party may pursue formal dispute resolution as described below.
16.2 Binding Arbitration
EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, YOU AND MOD PIZZA AGREE THAT ANY AND ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, BEFORE A SINGLE ARBITRATOR UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA). THE ARBITRATION SHALL BE CONDUCTED IN ENGLISH IN THE APPLICABLE UNITED STATES JURISDICTION.
The arbitrator shall have the authority to award any remedy that would be available in a court of competent jurisdiction, including monetary damages, injunctive relief, and attorneys' fees. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.3 Class Action Waiver
YOU AND MOD PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. If this Class Action Waiver is found unenforceable, then the entirety of the arbitration agreement in this Section shall be deemed void.
16.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Additionally, either party may bring claims in small claims court if the dispute qualifies for such court's jurisdiction.
17. Term and Termination
17.1 Term
These Terms of Service are effective as of the date you first access or use the Site and shall remain in full force and effect for as long as you continue to use the Site or Services, unless earlier terminated in accordance with these Terms.
17.2 Termination by You

The parties agree to negotiate in good faith to replace any invalid, illegal, or unenforceable provision with a valid provision that, to the greatest extent possible, achieves the same purpose and economic effect as the replaced provision.
21. Waiver
No failure or delay by Mod Pizza in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any further or future exercise thereof or the exercise of any other right, power, or privilege. A waiver of any default by us shall not constitute a waiver of any subsequent default. No waiver shall be effective unless made in writing and signed by an authorized representative of Mod Pizza.
22. Force Majeure
We shall not be held liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquakes, governmental actions, war, civil unrest, labor disputes, strikes, power outages, internet or telecommunications failures, or other similar extraordinary events. In such cases, our performance obligations shall be suspended for the duration of the force majeure event.
23. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Mod Pizza concerning your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and communications, both written and oral, regarding such subject matter. You may not assign, transfer, or delegate any of your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent.
